POLICIES

1. **CLAIMS** - Goods must be counted upon receipt. Unofficial tags or prior cuts are not proof of shortages. We are not responsible for any product once the fabric has been processed or handled. All claims or complaints for defective merchandise must be made in writing through our official channels within the first 7 calendar days after receipt of the goods. Failure to notify will constitute unconditional acceptance and a waiver of all claims by the buyer. The seller requires written return authorization for any returns. Any error in items or pricing must be reported within the first 7 calendar days after receipt of the goods.

2. **PRODUCT TESTING**: It is the buyer's responsibility to test and sample the received products before cutting or modifying them to meet specific requirements, performance standards, or applications, especially for colorfastness, shrinkage, stitching, stretch, weight/performance, and general appearance. Absolutely no returns or allowances will be accepted after the goods have been cut or altered from the original delivered form. Do not mix dye lots. The buyer assumes all responsibility for the fabric if subjected to additional processes.

3. **RISK** - Goods delivered through shipping companies or courier services are at the buyer's risk. Under no circumstances will the seller be liable for lost profits, delivery delays, damages due to breach of contract by the buyer, or any other consequential or contingent losses. It is the buyer's responsibility to notify in a timely manner if they wish to purchase insurance for the goods before dispatch.

4. **WARRANTIES**: The seller offers no warranties, either express or implied, of the merchantability or fitness of the products for a particular purpose, unless expressly specified.

5. **PAYMENT**: Payments are due within the time period specified on the invoice, with time being of the essence. Should the buyer fail to make timely payments, the buyer agrees to pay all collection and litigation costs, including but not limited to attorney fees and interest at a rate of 12% per annum.

6. **JURISDICTION**: California has jurisdiction over any claims arising from this transaction. Any dispute arising from this transaction will be governed by the laws of the State of California.
